1. Agreement
By accessing theletstream.com or engaging Letstream for services, you agree to these terms. If you are accepting these terms on behalf of an organisation, you represent that you have authority to bind that organisation.
2. Our services
Letstream provides professional services including consulting, design, software development, AI engineering, mobile application development, and related cloud and support services. The specific scope, deliverables, timeline, and fees of an engagement will be documented in a signed proposal, statement of work (SOW), or order form ("Engagement Document"), which takes precedence over these terms for engagement-specific matters.
3. Fees & payment
- Unless otherwise agreed, invoices are payable within 15 days of issue.
- We may suspend ongoing services if an invoice is more than 30 days overdue, after reasonable notice.
- Taxes (including GST where applicable) are in addition to quoted fees.
- Out-of-pocket expenses required for the engagement (travel, licensed software, third-party APIs) are billed at cost with prior approval.
4. Intellectual property
Your content
You retain all rights to content, data, and materials you provide to us. You grant us a limited, non-exclusive licence to use them solely for the purpose of delivering the engagement.
Deliverables
On full payment of all applicable fees, we assign to you all right, title, and interest in the custom deliverables created for your engagement, excluding any third-party materials and any of our pre-existing tools, libraries, templates, or know-how ("Background IP"). We grant you a perpetual, non-exclusive, royalty-free licence to use our Background IP as embedded in the deliverables.
Our rights
We retain the right to develop similar work for other clients, provided we don't use your confidential information to do so, and the right to describe our engagement with you in portfolios, case studies, and marketing materials in a reasonable, non-confidential manner unless you request otherwise in writing.
5. Confidentiality
Each party will protect the other's confidential information using at least the same degree of care it uses for its own, and will not disclose it to third parties except to its employees, contractors, and advisors who have a need to know and are bound by equivalent confidentiality obligations.
6. Warranties & disclaimers
We will perform the services in a professional and workmanlike manner. Except as expressly stated, services and deliverables are provided "as is" without warranty of any kind. We do not warrant that any deliverable will be error-free or meet every future requirement not specified in the Engagement Document.
7. Limitation of liability
To the maximum extent permitted by law, each party's aggregate liability under or in connection with these terms or any Engagement Document will not exceed the fees paid by you to us in the twelve months preceding the event giving rise to the claim. Neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, or data, even if advised of the possibility.
8. Indemnity
Each party will indemnify the other against third-party claims arising from its breach of these terms, its gross negligence, or its wilful misconduct, subject to the limitations in Section 7.
9. Term & termination
Either party may terminate an engagement for material breach that is not cured within 30 days of written notice. On termination, you will pay for services performed and expenses incurred up to the termination date. Sections that by their nature should survive (IP, confidentiality, liability, payment for work done) will survive termination.
10. Acceptable use of the website
- Don't attempt to probe, scan, or test the vulnerability of our systems without prior written permission.
- Don't scrape or use automated means to access the site except for publicly allowed indexing by search engines.
- Don't use the site to transmit malware, spam, or anything unlawful.
11. Governing law
These terms are governed by the laws of India. The courts at Noida, Uttar Pradesh will have exclusive jurisdiction over any dispute, without prejudice to our right to seek injunctive relief in any court of competent jurisdiction.
12. Changes
We may update these terms by posting an updated version on this page. Engagements already under contract will continue under the terms in effect at the time of signing unless both parties agree otherwise.
